Decision Architecture

Joint Governance

The founder retains final decision rights on mission, values and methodology. Budget, annual strategy, new markets, investments and major transactions are joint decisions.

Financing

Staged Tranches

Tranches convert into equity when agreed milestones are achieved. Possible structures include a fixed equity stake, conversion at valuation or a valuation cap; the reference model is RUB 30 million for 30%.

Turning the Idea into an Organisation

Building a core team in Dubai, Abu Dhabi or Moscow; PR and market development; strengthening IT infrastructure; and further legal protection.

Long-Term Horizon

Institutionalisation and Value Participation

The long-term objective is an independent school of practice, a proprietary modelling language, institutional reputation and reduced dependence on the founder. Profit distribution: 50/50 until the strategic partner’s funds are repaid, then pro rata to ownership.

The investment is venture in nature. The final structure, equity participation, milestones and legal model are agreed by the parties during negotiations and documented formally.
